These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, software, tools, features, and related services provided by Clue Labs Pte. Ltd. (“Clue,” “we,” “us,” or “our”), collectively, the “Services.”

Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Services.

1. Overview of the Services

Clue provides a non-custodial social trading interface that enables users to discover traders and trading activity, view market and trading information, interact with other users, and access certain digital asset markets through third-party protocols and infrastructure.

Clue provides features including:

  • trader profiles and trading activity;
  • social feeds, posts, comments, follows, and other social features;
  • publicly available trading and blockchain information;
  • market data and analytics;
  • trader performance information and metrics;
  • wallet functionality provided through third-party infrastructure; and
  • interfaces that allow users to interact with third-party trading protocols.

The availability and functionality of the Services may vary depending on your location, device, account status, and applicable law.

We may add, modify, suspend, or discontinue any part of the Services at any time.

2. Eligibility and Restricted Access

You must be at least 18 years old and have the legal capacity to enter into these Terms to use the Services.

By using the Services, you represent and warrant that:

  • you are legally permitted to use the Services;
  • your use of the Services complies with all laws and regulations applicable to you;
  • you are not subject to any applicable economic, financial, or trade sanctions or other legal restrictions that prohibit your use of the Services;
  • you are not located in, ordinarily resident in, incorporated or established in, or accessing the Services from a jurisdiction where your use of the Services would be unlawful or prohibited under these Terms;
  • you are not using the Services on behalf of, or for the benefit of, any person or entity prohibited from using the Services; and
  • you will not use a VPN, proxy, location-spoofing technology, or any other method to conceal or misrepresent your location or identity for the purpose of circumventing geographic, legal, or regulatory restrictions.

Restricted Jurisdictions

You may not access or use trading functionality through the Services if you are located in, ordinarily resident in, incorporated or established in, or otherwise subject to the jurisdiction of any jurisdiction that Clue designates as restricted due to applicable law, regulation, sanctions, or other legal or regulatory considerations.

Without limiting the foregoing, access to perpetual futures and other derivative trading functionality is not available to persons located in, ordinarily resident in, incorporated or established in, or otherwise subject to the jurisdiction of:

  • the United States of America;
  • the United Kingdom;
  • France;
  • Ontario, Canada;
  • Poland;
  • Belgium;
  • Singapore;
  • Thailand; and
  • Taiwan.

Clue may also restrict access by persons or entities subject to applicable sanctions, asset-freezing measures, trade restrictions, or other prohibitions administered or enforced by the United Nations, the United States, the European Union, the United Kingdom, Singapore, or any other competent sanctions or regulatory authority applicable to Clue or the relevant activity.

You may not use the Services if you are a person or entity whose assets are blocked or frozen, who is identified on an applicable sanctions or restricted-person list, or who is owned or controlled by, or acting on behalf of, such a person or entity.

Restricted jurisdictions and eligibility requirements may change from time to time in response to changes in applicable law, regulation, sanctions, third-party protocol requirements, or Clue’s legal and risk assessment.

Geographic Restrictions and Circumvention

Certain features, markets, assets, or trading functionality may not be available in all jurisdictions.

You may not use a VPN, proxy service, location-spoofing technology, or other method to conceal or misrepresent your location or identity for the purpose of accessing features that are unavailable or prohibited in your jurisdiction.

Clue may restrict, suspend, terminate, or limit access to all or part of the Services where we reasonably determine that you are subject to geographic, sanctions, legal, or regulatory restrictions.

Where technically supported, Clue may limit an account to functionality necessary to reduce or close existing positions rather than permitting new trading activity.

3. Accounts

You may be required to create an account to access certain features of the Services.

You agree to:

  • provide accurate and complete information;
  • keep your account information current;
  • maintain the security of your account and authentication credentials;
  • not share access to your account in an unauthorized manner; and
  • notify us promptly if you suspect unauthorized access to your account.

You are responsible for activities conducted through your account to the extent permitted by applicable law.

We may use third-party authentication providers to enable account creation and authentication.

We may require additional information where reasonably necessary to comply with applicable law, regulatory requirements, sanctions screening, fraud prevention, or requests from competent authorities.

4. Non-Custodial Wallets and Digital Assets

Clue is designed to operate on a non-custodial basis.

Wallet functionality available through the Services may be provided using third-party wallet infrastructure.

Clue does not collect or store your private keys, seed phrases, or wallet recovery credentials.

Clue does not take custody or ownership of digital assets held in your wallet.

You retain control over your digital assets and are responsible for transactions authorized through your wallet.

You are responsible for maintaining the security of your:

  • account;
  • email account;
  • authentication credentials;
  • devices;
  • wallet credentials; and
  • any private keys, seed phrases, or recovery information made available to you through third-party wallet infrastructure.

Clue cannot recover digital assets lost as a result of lost credentials, compromised accounts, unauthorized transactions, blockchain errors, or actions taken through third-party wallet infrastructure.

You acknowledge that blockchain transactions may be irreversible and that Clue generally cannot cancel, reverse, or modify a transaction once it has been submitted to the relevant network or protocol.

5. Third-Party Trading Protocols

Clue may provide an interface that allows you to interact with decentralized exchanges, smart contracts, blockchain networks, and other third-party trading protocols (“Third-Party Protocols”).

Clue does not operate the underlying third-party protocols.

When you execute a transaction through the Services:

  • the transaction is executed through the applicable third-party protocol;
  • Clue does not take custody of your digital assets;
  • Clue is not the counterparty to your transaction;
  • Clue does not clear or settle your transaction; and
  • title to and control over your digital assets remain with you, subject to the operation of the applicable Third-Party Protocol.

Third-Party Protocols may have their own terms, fees, eligibility requirements, geographic restrictions, and privacy policies.

Your interaction with a Third-Party Protocol may therefore also be subject to the terms applicable to that protocol.

Clue does not acquire ownership of your digital assets as a result of your use of the Services. Your assets remain subject to the operation and rules of the applicable Third-Party Protocol.

6. No Investment Advice and No Fiduciary Duty

No Investment Advice

Clue provides information, tools, social features, and access to trading interfaces.

Clue does not provide investment, financial, legal, or tax advice.

Information available through the Services, including:

  • trader profiles;
  • positions;
  • performance information;
  • rankings;
  • market data;
  • analytics;
  • posts and trading theses;
  • comments;
  • social activity;
  • signals; and
  • information provided by other users,

is provided for informational purposes only.

Nothing available through the Services constitutes a recommendation by Clue to buy, sell, hold, or otherwise transact in any asset or financial instrument.

Clue does not endorse or verify the suitability of any trader, trading strategy, position, opinion, or transaction for you.

You are solely responsible for evaluating any information available through the Services and deciding whether any transaction is appropriate based on your own objectives, financial circumstances, experience, and risk tolerance.

Clue does not exercise discretion over your account or make trading decisions on your behalf. You remain solely responsible for whether to enter into, modify, or close any transaction.

No Fiduciary Duty

Clue does not act as your fiduciary, investment adviser, agent, or representative in connection with your use of the Services. Nothing in these Terms or your use of the Services creates any fiduciary, advisory, agency, or similar relationship between you and Clue.

You remain solely responsible for evaluating the merits and risks of any transaction and for your own trading decisions.

Past performance is not indicative of future results.

7. Trading and Digital Asset Risks

You acknowledge that trading digital assets and derivatives involves substantial risk.

These risks may include:

  • significant or total loss of capital;
  • extreme price volatility;
  • leverage-related losses;
  • liquidation;
  • smart contract vulnerabilities;
  • blockchain failures or congestion;
  • protocol exploits;
  • oracle failures;
  • transaction failures or delays;
  • inaccurate or delayed market data;
  • liquidity risk;
  • regulatory changes;
  • cybersecurity incidents; and
  • failures of third-party infrastructure.

Perpetual Futures

Perpetual futures and other leveraged derivatives involve particularly significant risk.

Leverage can magnify both gains and losses. Small market movements may result in substantial losses or liquidation of your position.

You may lose some or all of the assets committed to a transaction.

You are solely responsible for understanding the risks associated with a transaction before executing it.

Clue does not guarantee the availability, price, execution, settlement, profitability, or outcome of any transaction.

8. No Offer of Securities or Other Offerings

Nothing available through the Services, including information relating to digital assets, tokens, markets, traders, protocols, or future products, constitutes or is intended to constitute an offer to sell, a solicitation of an offer to buy, or a recommendation regarding any security, investment product, or other regulated financial instrument.

Any information regarding potential future tokens, digital assets, products, features, financing arrangements, or other offerings is provided for informational purposes only unless expressly stated otherwise in separate documentation governing such offering.

Nothing in the Services, these Terms, or any communication made through the Services creates any right or entitlement to receive, purchase, acquire, or participate in any future token, digital asset, financing, allocation, distribution, or other offering.

The availability of any digital asset, instrument, market, or Third-Party Protocol through the Services does not constitute an endorsement by Clue or a representation regarding its legal or regulatory status.

Clue makes no representation or warranty as to whether any particular digital asset, token, transaction, or activity is classified as a security, derivative, financial product, or other regulated instrument under the laws applicable to you.

You are responsible for determining whether your use of the Services or participation in any transaction complies with applicable law.

9. Market, Trading and Performance Information

Clue may display information obtained from blockchains, Third-Party Protocols, market-data providers, users, and other third-party sources.

This information may include:

  • prices;
  • positions;
  • transaction history;
  • profit and loss;
  • performance statistics;
  • wallet activity;
  • rankings;
  • market information; and
  • other trading-related information.

We may calculate, aggregate, organize, or present information derived from these sources.

Although we seek to provide useful and accurate information, we do not guarantee that any information displayed through the Services is accurate, complete, current, or error-free.

Information may be delayed, incomplete, incorrectly indexed, calculated differently from another provider, or affected by errors in third-party data.

You should independently verify information that is material to a trading decision before executing a transaction.

10. Social Features and User Content

Clue may allow users to create profiles, publish posts or trading theses, comment, follow other users, and otherwise communicate or share content (“User Content”).

You retain ownership of User Content you create.

By posting User Content through the Services, you grant Clue a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and otherwise use that User Content as reasonably necessary to operate, improve, promote, and provide the Services.

You represent that you have the rights necessary to post your User Content and that your User Content does not violate applicable law or the rights of any third party.

You are solely responsible for User Content you publish.

Clue does not endorse, guarantee, or assume responsibility for opinions, trading strategies, claims, or other content published by users.

Public Trading Information

Certain trading information associated with users may originate from public blockchain networks or Third-Party Protocols rather than from User Content.

Clue may display, organize, analyze, or associate publicly available trading information with profiles or other features of the Services.

You acknowledge that information recorded on public blockchains may remain publicly available independently of Clue.

Community Guidelines

Clue is designed to enable users to share information, discuss trading activity, and interact with other members of the community.

When using social or community features, you must act honestly and responsibly and must not use the Services to mislead, manipulate, defraud, or harm other users.

Without limiting the Prohibited Uses described below, you may not:

  • knowingly publish false or materially misleading information about your trading activity, positions, performance, returns, or experience;
  • falsify or misrepresent profit and loss, trading history, account balances, positions, or performance metrics;
  • misrepresent your identity, qualifications, affiliations, relationships, or trading experience;
  • manipulate or attempt to manipulate trader rankings, leaderboards, reputation metrics, engagement, rewards, or other platform metrics;
  • coordinate with others to artificially influence rankings, engagement, trading activity, or perceived performance;
  • promote or participate in market manipulation, wash trading, spoofing, pump-and-dump schemes, or other deceptive or abusive trading practices;
  • use the Services to deceive another user into transferring digital assets, disclosing credentials, connecting a wallet, or signing a malicious transaction;
  • publish phishing links, malicious software, deceptive links, or other content intended to compromise another user’s account, device, wallet, or assets;
  • engage in spam, repeated unsolicited promotion, or other disruptive behavior;
  • impersonate another person, trader, organization, or member of the Clue team;
  • harass, threaten, abuse, or target other users;
  • publish content that infringes another person’s intellectual property, privacy, publicity, or other rights; or
  • use community features for unlawful activity.

If you receive compensation, financial benefit, tokens, allocations, referral fees, or other consideration in connection with content you publish through the Services, you are responsible for making any disclosure required by applicable law.

Clue may, but is not obligated to, review, moderate, restrict, remove, or limit the visibility of User Content or accounts that we reasonably believe violate these Terms, applicable law, or the integrity or safety of the Services.

Clue may establish and update additional community standards, moderation rules, or content policies from time to time.

11. Prohibited Uses

You may not use the Services to:

  • violate any applicable law or regulation;
  • engage in fraud, money laundering, terrorist financing, sanctions evasion, or other illegal financial activity;
  • manipulate or attempt to manipulate markets;
  • engage in wash trading, spoofing, self-trading, deceptive trading, or other abusive market practices;
  • manipulate leaderboards, rankings, performance metrics, rewards, or reputation systems;
  • impersonate another person or misrepresent your identity;
  • post unlawful, fraudulent, defamatory, threatening, harassing, hateful, or infringing content;
  • infringe intellectual property, privacy, publicity, or other rights;
  • compromise or attempt to compromise the security of the Services;
  • introduce malware or malicious code;
  • scrape or access the Services through automated means except as expressly authorized by us;
  • reverse engineer, decompile, or attempt to derive the source code of the Services except where permitted by applicable law;
  • interfere with or disrupt the operation of the Services;
  • use the Services to exploit or harm minors;
  • access features that are prohibited in your jurisdiction;
  • use a VPN, proxy, or other technology to circumvent geographic or regulatory restrictions; or
  • assist another person in any of the foregoing.

We may investigate suspected violations and restrict or terminate access where we reasonably believe these Terms have been violated.

12. Fees

Clue may charge fees for certain Services.

Fees applicable to a transaction or feature will be disclosed through the Services or otherwise made available to you before or in connection with the relevant transaction where required.

Third-Party Protocols, blockchain networks, wallet providers, payment providers, or other third parties may separately charge fees.

Clue does not control third-party fees and is not responsible for changes to such fees.

You are responsible for all taxes applicable to your use of the Services or transactions, except taxes imposed directly on Clue's income.

13. Intellectual Property

The Services, including the Clue name, trademarks, logos, software, design, interfaces, graphics, and other content provided by Clue, are owned by or licensed to Clue and are protected by applicable intellectual property laws.

Subject to these Terms, Clue grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for their intended purposes.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, license, reverse engineer, or create derivative works from the Services.

Nothing in these Terms transfers ownership of Clue's intellectual property to you.

14. Third-Party Services

The Services may contain or provide access to products, applications, websites, networks, protocols, APIs, data, or other services operated by third parties.

Clue does not control these third-party services.

Your use of third-party services may be governed by separate terms and privacy policies between you and the relevant third party.

Certain fiat on-ramp, payment, identity verification, or other financial services accessible through the Services may be provided directly by independent third-party providers. Clue does not control their eligibility determinations, identity-verification processes, payment processing, transaction approval, fees, or service availability.

We make no representations or warranties regarding third-party services and are not responsible for losses resulting from their acts, omissions, availability, security, performance, or failure.

15. Suspension and Termination

We may restrict, suspend, or terminate your access to some or all of the Services where we reasonably determine that:

  • you have violated these Terms;
  • your use may violate applicable law;
  • you are subject to sanctions or geographic restrictions;
  • your account presents a fraud or security risk;
  • your activity may harm Clue, our users, or third parties;
  • we are required to do so by a governmental or regulatory authority; or
  • suspension or termination is otherwise reasonably necessary to protect the Services.

We may also modify or discontinue any feature or Service.

Because Clue is non-custodial, suspension or termination of your Clue account does not itself transfer ownership of your digital assets to Clue.

Where technically available through the underlying wallet or protocol infrastructure, you remain responsible for accessing or managing your assets independently.

16. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available.”

Clue makes no warranty that:

  • the Services will be uninterrupted, secure, or error-free;
  • market or trading information will be accurate or current;
  • transactions will be executed at any particular price or time;
  • third-party protocols will operate as expected;
  • any trader, strategy, signal, ranking, or information will be profitable or reliable; or
  • your use of the Services will result in any particular financial outcome.

To the maximum extent permitted by law, Clue disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Forward-Looking Statements

The Services, our website, and communications made by or on behalf of Clue may contain statements regarding future plans, products, features, integrations, technologies, markets, digital assets, tokens, business objectives, or other future developments.

Such statements are forward-looking in nature and are based on current expectations, assumptions, and information available at the time they are made. They are subject to risks, uncertainties, changes in circumstances, and factors beyond Clue’s control.

Actual developments, timing, availability, functionality, or results may differ materially from those expressed or anticipated in any forward-looking statement.

You should not rely on forward-looking statements as guarantees, promises, or commitments regarding future products, features, functionality, availability, performance, token launches, integrations, or other developments.

Except where required by applicable law, Clue does not undertake any obligation to update or revise forward-looking statements after they are made.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Clue and its affiliates, directors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, digital assets, goodwill, or business opportunity arising out of or relating to your use of the Services.

To the maximum extent permitted by law, Clue will not be responsible for losses arising from:

  • trading or investment decisions;
  • market movements;
  • leverage or liquidation;
  • blockchain transactions;
  • smart contracts;
  • third-party protocols;
  • third-party wallet infrastructure;
  • loss or compromise of account or wallet credentials;
  • inaccurate or delayed data;
  • cybersecurity incidents outside Clue's reasonable control; or
  • user content or the conduct of other users.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Clue and its affiliates, directors, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from or relating to:

  • your violation of these Terms;
  • your violation of applicable law;
  • your User Content;
  • your infringement of the rights of another person;
  • your misuse of the Services; or
  • transactions or activities initiated by you through the Services.

19. Privacy

Our Privacy Policy explains how we collect, use, disclose, and otherwise process information in connection with the Services.

By using the Services, you acknowledge our Privacy Policy.

20. Changes to the Services and These Terms

We may modify these Terms from time to time.

When we make changes, we will update the “Last Updated” date above and provide additional notice where required by applicable law.

Changes may be necessary due to:

  • new features or Services;
  • changes in third-party protocols;
  • regulatory or legal developments;
  • security considerations; or
  • changes to our business or operations.

Your continued use of the Services following the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.

If you do not agree to the updated Terms, you must stop using the Services.

21. Governing Law and Dispute Resolution

These Terms and any dispute, controversy, difference, or claim arising out of or relating to these Terms or the Services, including any question regarding their existence, validity, interpretation, performance, breach, or termination (each, a “Dispute”), will be governed by and construed in accordance with the laws of Singapore, without regard to its conflict-of-law principles.

21.1 Informal Resolution

Before commencing arbitration, you and Clue agree to make reasonable, good-faith efforts to resolve any Dispute informally.

A party seeking to initiate a Dispute must provide written notice to the other party describing the nature of the Dispute and the relief sought. If the Dispute is not resolved within thirty (30) days after receipt of the notice, either party may commence arbitration in accordance with Section 21.2.

21.2 Arbitration

Except as provided in Sections 21.3 and 21.4, any Dispute that is not resolved through the informal process above will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the SIAC Rules in force at the time the arbitration is commenced, which rules are deemed incorporated into this section.

The seat of arbitration will be Singapore.

The tribunal will consist of one (1) arbitrator, except as otherwise provided under the applicable SIAC Rules.

The language of the arbitration will be English.

The governing law of this arbitration agreement will be Singapore law.

Each party will initially bear its own legal and other costs in connection with the arbitration, subject to the tribunal’s authority to allocate the costs of the arbitration and reasonable legal fees in accordance with applicable law and the SIAC Rules.

The existence of a Dispute, the arbitration proceedings, and any award will be kept confidential, except to the extent disclosure is reasonably necessary to:

  • comply with applicable law, regulation, or an order of a court or regulatory authority;
  • enforce or challenge an arbitral award; or
  • obtain advice from professional advisers who are subject to confidentiality obligations.

21.3 Interim and Injunctive Relief

Nothing in this Section 21 prevents either party from seeking urgent interim, conservatory, or injunctive relief from a court of competent jurisdiction, including where necessary to prevent irreparable harm, protect confidential information or intellectual property rights, or preserve the status quo.

Seeking such relief will not constitute a waiver of this agreement to arbitrate.

21.4 Small Claims

Either party may bring an individual claim before a small claims tribunal or similar court of competent jurisdiction where the claim falls within that tribunal’s jurisdiction.

21.5 Individual Proceedings

To the maximum extent permitted by applicable law, each party agrees that any Dispute will be brought only in an individual capacity and not as part of any class, collective, consolidated, or representative proceeding.

Unless all affected parties agree otherwise in writing, the arbitrator will not have authority to consolidate the claims of different individuals or conduct any class, collective, or representative proceeding.

21.6 Waiver of Court Proceedings

Except as provided in Sections 21.3 and 21.4, and to the maximum extent permitted by applicable law, each party waives any right to have a Dispute resolved in court and agrees that arbitration under this Section 21 will be the exclusive means of resolving the Dispute.

21.7 Severability

If any provision of this Section 21 is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will remain in effect.

If the waiver in Section 21.5 is found unenforceable with respect to a particular Dispute, that Dispute may proceed in a court of competent jurisdiction to the extent required by applicable law.

22. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction.

These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Clue regarding the Services.

Provisions that by their nature should survive termination will survive termination of these Terms.
